Creator Agreement

This Creator Agreement ("Agreement") is a legally binding contract between you ("Creator," "you," or "your") and Open Line Club LLC governing your activities as a content creator on the Open Line platform (the "Service"). This Agreement supplements, and is incorporated by reference into, the Open Line Terms of Service and Privacy Policy. Capitalized terms not defined here have the meaning given in the Terms of Service. To the extent of any conflict between this Agreement and the Terms of Service with respect to Creator activities, this Agreement controls.

You accept this Agreement by checking the "I agree to the Creator Agreement" box during sign-up. By doing so you confirm you have read, understood, and agree to be bound by every provision below. If you do not agree, do not upload, sell, or otherwise distribute content through the Service.

1. Eligibility & Identity Verification

You represent and warrant that:

  • You are at least eighteen (18) years of age.
  • You have the legal capacity to enter into this Agreement.
  • Your use of the Service complies with all applicable laws of your jurisdiction and of the United States.
  • The information you provide to Open Line — including your legal name, date of birth, contact details, payout information, and tax information — is true, accurate, current, and complete.

You agree to complete Open Line's identity verification ("KYC") process, including providing a valid government-issued photo ID and, where required, a self-portrait or liveness check, before uploading content, accepting payment, or receiving payouts. You agree to promptly update your information when it changes and to re-verify your identity upon Open Line's reasonable request.

2. Content Standards & Warranties

You are solely responsible for all content you upload, transmit, or otherwise make available through the Service ("Your Content"). For each item of Your Content, you represent and warrant that:

  • It does not violate any law, court order, or regulation, including obscenity, child sexual abuse material (CSAM), non-consensual intimate imagery (NCII), and anti-trafficking laws.
  • It does not infringe any third party's intellectual property, publicity, privacy, or other rights.
  • All persons depicted are at least eighteen (18) years old at the time the content was created.
  • You have obtained from each depicted person written consent to (a) depiction, (b) public distribution on the Service, and (c) downloading or further distribution where applicable.
  • You have verified the identity and age of each depicted person via a valid government-issued photo ID.
  • You will retain consent and age-verification records for each item of Your Content for a minimum of seven (7) years following removal of that content from the Service.
  • You will provide such records to Open Line within forty-eight (48) hours of any request.
  • It complies with these Terms, the Open Line Content Standards, and the content policies of Open Line's payment processors, including CCBill and Stripe.

You must not upload, transmit, or sell any of the prohibited content listed in §4 of the Terms of Service.

3. Authorized Representatives & Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may not share your account credentials with, or otherwise permit, any third party to access or operate your account, except through Operator-onboarded staff accounts whose users have separately registered on the Service, completed identity verification, and accepted the Terms of Service and this Agreement. Credential sharing, unauthorized delegation, and use of unvetted third-party chatters, ghostwriters, virtual assistants, or messaging services are a material breach of this Agreement.

You remain fully responsible for all activity on your account — including communications sent, content uploaded, refunds, chargebacks, processor penalties, and Terms violations — regardless of whether you, an authorized representative, or an unauthorized third party performed the activity.

Fans purchasing communications, subscriptions, or other goods through your account are disclosed in the Terms of Service that messages may originate from you or from authorized representatives. You agree to operate your account consistently with that disclosure and to ensure that authorized representatives do not misrepresent themselves as you in a manner that would mislead fans or violate consumer-protection law.

4. Tangible Goods Prohibition

You may not offer, advertise, or fulfill tangible or physical goods through the Service. All transactions you conduct on the Service must be for digital content and services only. Attempts to use the Service as a payment channel for physical merchandise are prohibited and may result in content removal, payout forfeiture, and account termination.

5. Pricing, Payments & Payouts

You set the pricing for your content and services within the limits and tools provided by the Service. Open Line will collect payments from fans on your behalf through CCBill, Stripe, and/or other authorized payment processors, and will pay you the amounts owed to you net of (a) Open Line's commission and fees as described in the Creator Dashboard, (b) payment-processor fees, (c) any chargebacks, refunds, processor penalties, taxes withheld, or other deductions described in this Agreement.

Payouts are issued on the schedule and via the methods set out in the Creator Dashboard, subject to minimum payout thresholds and applicable holds and reserves. Open Line may impose holds or reserves on payouts where reasonably necessary to manage chargeback or fraud risk, comply with payment-processor requirements, or pending investigation of a suspected Terms violation.

6. Chargebacks, Refunds & Processor Penalties

You are financially responsible for all chargebacks, refunds, fines, and penalties assessed by a payment processor, card network, or bank in connection with transactions on your account, regardless of whether the underlying activity was performed by you, an authorized representative, or any third party (authorized or unauthorized) operating your account.

Open Line may:

  • Deduct the amount of any such chargeback, refund, fine, or penalty from your current or future payouts.
  • Where the amount owed exceeds available payouts, invoice you directly for the balance, which is due within thirty (30) days of the invoice date.
  • Place holds or reserves on your payouts where your chargeback ratio or refund rate approaches or exceeds the thresholds set by Open Line's payment processors or card networks.
  • Suspend or terminate your account where chargebacks, refunds, or processor penalties are excessive, recurring, or indicative of fraud.

You agree not to initiate, encourage, or assist any payment-card chargeback against Open Line or against transactions on your account on the basis that a communication was sent by an authorized representative rather than by you personally; such chargebacks are a breach of this Agreement and the Terms of Service.

7. Taxes

You are responsible for determining and paying all taxes, levies, and similar charges arising from your activities on the Service. You agree to provide Open Line with accurate tax-identification information (including a Form W-9, W-8 BEN, or equivalent) and to update it promptly when it changes. Open Line will withhold and report amounts as required by law and will issue tax forms (such as IRS Form 1099) where required.

8. Content License

You retain ownership of Your Content. You grant Open Line a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, transcode, and otherwise use Your Content as necessary to operate, promote, and improve the Service, subject to the additional terms in §7 of the Terms of Service (Creator Image & Likeness Consent), which you accept separately. This license survives termination only to the extent necessary for Open Line to comply with legal-retention obligations and to wind down active subscriptions; otherwise, the license terminates when Your Content is removed from the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless Open Line Club LLC, its affiliates, Operators, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your breach of this Agreement, the Terms of Service, or applicable law; (c) your violation of any third party's rights, including intellectual-property, publicity, or privacy rights; (d) any activity on your account, including by authorized representatives and unauthorized third parties; and (e) any chargebacks, refunds, or processor penalties for which you are responsible under §6.

10. Suspension & Termination

Open Line may suspend or terminate your account, withhold payouts, and remove any of Your Content at any time, with or without notice, for any breach of this Agreement, the Terms of Service, or applicable law, or where reasonably required by a payment processor, card network, or governmental authority.

Upon termination, sections 2 (Content Standards & Warranties — for record-retention obligations only), 6 (Chargebacks), 7 (Taxes), 8 (Content License — to the extent stated), 9 (Indemnification), and 11 (Governing Law) survive.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this Agreement is subject to the dispute-resolution provisions of §17 of the Terms of Service (binding arbitration via JAMS in Los Angeles, California; jury trial and class action waived).

12. Changes to this Agreement

Open Line may update this Agreement from time to time. Material changes will receive additional notice through the Service or to your registered email address. Your continued use of the Service after the effective date of an updated Agreement constitutes acceptance of the changes. If you do not agree to a material change, you may terminate your account.

13. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and the consents you provide at sign-up, constitutes the entire agreement between you and Open Line with respect to your activities as a Creator on the Service and supersedes all prior or contemporaneous understandings on that subject.
